1. Acceptance of Terms
Welcome to Paperbak Bridge (the "Service"), operated by Paperbak Labs LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Illinois. By accessing or using the Service at bridge.paperbak.com (the "Website"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the Website. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
2. Description of Service
Paperbak Bridge is a data synchronization platform that allows users to connect third-party email service provider accounts (such as Omeda) to Google Sheets, enabling automated syncing of email deployment statistics. The Service acts as a bridge between your existing accounts and does not store your email content or subscriber data beyond what is necessary to perform the sync operations.
2.1 Data Accuracy and Limitations
The Service is provided as a convenience tool to automate data synchronization between third-party services and Google Sheets. The Service is not intended to function as a system of record, backup service, or authoritative data source. You acknowledge and agree that data synchronization may be subject to delays, partial updates, errors, omissions, API limitations, or interruptions beyond our control. You are solely responsible for reviewing, validating, monitoring, and backing up any data synced through the Service. Paperbak Labs LLC does not guarantee the completeness, accuracy, timeliness, or consistency of any data synchronized through the Service and shall not be responsible for any decisions, actions, or outcomes based on such data.
3. Account Registration and Security
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate any account if information provided is found to be untrue, inaccurate, not current, or incomplete, or if we reasonably believe the account is being used in violation of these Terms.
4. Subscription Plans and Payment
The Service offers both free and paid subscription tiers. Paid plans are billed through our third-party payment processor (Stripe). By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
We reserve the right to change pricing at any time. Any price changes will take effect at the start of your next billing cycle, and we will provide reasonable notice of such changes.
5. Third-Party Integrations and Credentials
The Service requires you to provide credentials for third-party services (e.g., Omeda API keys, Google account authorization). By providing these credentials, you represent that:
- You are authorized to use and grant access to those third-party accounts
- Your use of the Service in connection with those accounts complies with the respective third-party terms of service
- You understand that the Service's functionality depends on the availability and proper operation of those third-party services
We encrypt stored credentials and take reasonable measures to protect them, but we are not responsible for any issues arising from changes to third-party APIs or services.
5.1 Google Services and OAuth Data Use
The Service integrates with Google APIs, including Google Sheets, and accesses Google user data only as necessary to provide the functionality explicitly requested by you. We do not use Google user data for advertising, profiling, or marketing purposes, nor do we sell such data to third parties. Our use and handling of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. Access to Google data is restricted to the minimum scope necessary to perform authorized synchronization operations.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Access or attempt to access accounts or data belonging to others without authorization
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service's systems or networks
- Use automated scripts, bots, or scrapers to access the Service outside of the intended API
- Resell, sublicense, or redistribute the Service without our written consent
- Transmit any malicious code, viruses, or harmful data through the Service
6.1 Usage Limits and Rate Limiting
We reserve the right to impose reasonable limits on usage of the Service, including but not limited to synchronization frequency, API requests, data volume, or concurrent connections, based on your subscription plan or to protect system stability and third-party services. We may throttle, delay, suspend, or restrict access to the Service if your usage is excessive, abusive, or materially impacts system performance or third-party integrations. Such actions may be taken without liability to you.
7. Intellectual Property
All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of Paperbak Labs LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein. You retain ownership of any data you sync through the Service. We do not sell your data to third parties.
9. Service Availability and Modifications
We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
9.1 Beta and Experimental Features
From time to time, we may offer features or functionality labeled as “beta,” “experimental,” or “preview.” Such features are provided on an “as is” basis, may contain bugs or errors, and may be modified or discontinued at any time without notice. We make no guarantees regarding the availability, reliability, or performance of beta features, and your use of such features is at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPERBAK LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Indemnification
You agree to indemnify, defend, and hold harmless Paperbak Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Illinois. You consent to the personal jurisdiction of such courts and waive any objection to venue.
Any claim or cause of action arising out of or related to the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paperbak Labs LLC regarding the use of the Service and supersede any prior agreements or understandings.
